Terms & Conditions

In these Conditions:

‘BUYER’ means the person who accepts a quotation from the Seller for the sale of Goods or whose order for the Goods is accepted by the Seller.

‘GOODS’ means the goods (including any instalment of the goods or any parts for them) which the Seller is to supply in accordance with these Conditions

‘SELLER’ means PJ & RHS Ltd (registered in the UK, Companies House No. 03889213)

‘CONDITIONS’ means the standard terms and conditions of sale set out in this document and (unless the context otherwise requires) includes any special terms and conditions agreed in writing between the Buyer and the Seller.

‘CONTRACT’ mean the contract for the purchase and sale of the Goods placed with the Seller.

‘WRITING’ includes facsimile, email, social media and comparable other means of communication.

Any reference in these Conditions to any provision of a statute shall be construed as a reference to that provision as amended, re-enacted or extended at the relevant time.

The headings in these Conditions are for convenience only and shall not affect their interpretation.

2.1 The Seller shall sell and the Buyer shall purchase the Goods in accordance with any written quotation of the Seller which shall be by the means in writing or otherwise (the ‘‘Seller’s Quotation’’) which is accepted by the Buyer, or any written order of the Buyer which is accepted by the Seller, subject in either case to these Conditions, which shall govern the Contract to the exclusion of any other terms and conditions subject to which any such quotation is accepted or purported to be accepted, or any such order is made or purported to be made, by the Buyer.

2.2 No variation to these Conditions shall be binding unless agreed in Writing between the authorised representatives of the Buyer and the Seller.

2.3 The Seller’s employees or agents are not authorised to make any representations concerning the Goods unless confirmed by the Seller in Writing. In entering into the Contract the Buyer acknowledges that it does not rely on any such representations which are not so confirmed.

2.4 Online Sales, orders placed online are placed with PJ & RHS Ltd, by placing an order online you are indicating your acceptance of these terms and conditions. Receipt of order via the website does not constitute legal acceptance of the order. Your order is deemed accepted upon written confirmation of acceptance. The Seller reserves the right to refuse your order for any reason that it deems necessary.

3.1 No order submitted by the Buyer shall be deemed to be accepted by the Seller unless and until confirmed in Writing by the Seller’s authorised representative.

3.2 The quantity, quality and description of and any specification for the Goods shall be those set out in the Seller’s Quotation (if accepted by the Buyer) or the Buyer’s order (if accepted by the Seller).

3.3 If the Goods are to be manufactured or any process is to be applied to the Goods by the Seller in accordance with a specification submitted by the Buyer, the Buyer shall indemnify the Seller against all loss, damages, costs and expenses awarded or incurred by the Seller in connection with or paid or agreed to be paid by the Seller in settlement of any claim for infringement of any patent, copyright, design, trade mark or other industrial or intellectual property rights of any other person which results from the Seller’s use of the Buyer’s specification.

3.4 The Seller reserves the right to make any changes in the specification of the Goods which are required to conform to any applicable statutory or EC requirements or, where the Goods are to be supplied to the Seller’s specification, which do not materially affect their quality or performance.

3.5 No order which has been accepted by the Seller may be:

3.5.1 amended by the Buyer in respect of quantity, price, method of packaging or any other term unless agreed in writing; or

3.5.2 cancelled by the Buyer unless in either case the Seller agrees in writing and on terms that the Buyer shall indemnify the Seller in full against all loss (including loss of profit), costs (including the cost of all labour and materials used), damages, charges and expenses incurred by the Seller as a result of such amendment or cancellation.

3.6 Cancellation by the buyer. Cooling off period of 14 calendar days starts from the day of the delivery. This cooling off period allows the Buyer to return items and qualify for a refund of the original cost of goods less carriage. There are 14 calender days to return the goods to us at the Buyers expense, if the Buyer has requested a collection, there will be a charge made for this and arrangements will be made to collect the goods within 14 calender days. Once the goods have been received by the Seller, a credit will be made to the Buyer by the original payment method within 14 calender days. Leather Goods that are made to order do not qualify under this period, reimbursement of all expenses relating to the order will be claimed by the Seller if an order is cancelled during production.

3.7 The packaging of the Goods will be at the Seller’s discretion unless specifically agreed in Writing.

4.1 The price of the Goods shall be as set out in the Seller’s Quotation or, where no price has been quoted (or a quoted price is no longer valid), the price listed in the Seller’s published price list current at the date of acceptance of the order. All prices quoted are valid for 30 days only from issue or until earlier acceptance by the Buyer, after which time they may be altered by the Seller without giving notice to the Buyer.

4.2 Except as otherwise stated under the terms of the Seller’s Quotation or in any price list of the Seller, and unless otherwise agreed in Writing between the Buyer and the Seller, all prices are given by the Seller exclusive of delivery charges.

4.3 The price is exclusive of any applicable value added tax, which the Buyer shall be additionally liable to pay to the Seller.

5.1 Subject to any special terms agreed in Writing between the Buyer and the Seller, the Seller shall be entitled to invoice the Buyer for the price of the Goods on or at any time after delivery of the Goods, unless the goods are to be collected by the Buyer or the Buyer wrongfully fails to take delivery of the Goods, in which event the Seller shall be entitled to invoice the Buyer for the price at any time after the Seller has notified the Buyer that the Goods are ready for collection (as the case may be) the Seller has tendered delivery of the Goods.

5.2 The Buyer shall pay the price of the Goods in full within 30 days of the date of the Seller’s invoice, and the Seller shall be entitled to recover the price, notwithstanding that delivery may not have taken place and the property of the Goods has not passed to the Buyer. The time of payment of the price shall be of essence of the Contract. Receipts for payment will be issued only upon request.

5.3 If the Buyer fails to make any payment on the due date then, without prejudice to any other right or remedy available to the Seller, the Seller shall be entitled to:

5.3.1 cancel the contract or suspend any further deliveries to the Buyer;

5.3.2 appropriate any payment made by the Buyer to such of the Goods (or the goods supplied under any other contract between the Buyer and the Seller) as the Seller may think fit (notwithstanding any purported appropriation by the Buyer); and

5.3.3 charge the Buyer interest (both before and after any judgment) on the amount unpaid, at a rate of 2% per cent per month above Bank of England base rate from time to time, until payment in full is made (a part of a month being treated as a full month for the purpose of calculating interest).

5.4 Website payments, for sales via the website, full payment is required and processed at the time of the order via paypal, (until such time an alternative method is available) a secure online payment provider.

6.1 VAT will charged at the current rate on the date of the invoice. Any change, either increase or decrease in VAT between the date of order and the date of invoice will be passed onto and paid by the BUYER.

7.1 Delivery of the Goods shall be made by the Seller delivering the Goods at the Buyers invoice address as notified by the Buyer of the Order. The Buyer must notify the Seller of any alternative address for delivery in writing an acceptance by the Buyer of the Order.

7.2 Any dates quoted for delivery of the Goods are approximate only and the Seller shall not be liable for any delay in delivery of the Goods however caused. Time for delivery shall not be of the essence of the Contract. The Goods may be delivered by the Seller in advance of the quoted delivery date upon giving reasonable notice to the Buyer.

7.3 Where the Goods are to be delivered in instalments, each delivery shall constitute a separate contract and failure by the Seller to deliver any one or more of the instalments in accordance with these Conditions or any claim by the Buyer in respect of any one or more instalments shall not entitle the Buyer to treat the Contract as a whole as repudiated.

7.4 If the Seller fails to deliver the Goods (or any instalment) for any reason other than any cause beyond the Seller’s reasonable control or the Buyer’s fault, and the Seller is accordingly liable to the Buyer, the Seller’s liability shall be limited to the excess (if any) of the cost to the Buyer (in the cheapest available market) of similar Goods to replace those not delivered over the price of the Goods.

7.5 If the Buyer fails to take delivery of the Goods or fails to give the Seller adequate delivery instructions at the time set out in clause 6.1 above then, without prejudice to any other right or remedy available to the Seller, the Seller may:

7.5.1 store the Goods until actual delivery and charge the Buyer for the reasonable costs (including insurance) of storage; or

7.5.2 sell the Goods at the best price readily obtainable and (after deducting all reasonable storage and selling expenses) account to the Buyer for the excess over the price under the Contract or charge the Buyer for any shortfall below the price under the Contract.

8.1 Risk of damage or loss of the Goods shall pass to the Buyer in the case of Goods to be delivered to the Seller’s carrier, at the time of delivery or, if the Buyer’s carrier wrongfully fails to take delivery of the Goods, the time when the Seller has tendered delivery of the Goods.

8.2 Notwithstanding delivery and the passing of risk in the Goods, or any other provision of these Conditions, the property in the Goods shall not pass to the Buyer until the Seller has received in cash or cleared funds payment in full of the price of the Goods and all other Goods agreed to be sold by the Seller to the Buyer for which payment is then due.

8.3 Until such time as the property in the Goods passes to the Buyer, the buyer shall hold the Goods as the Seller’s fiduciary agent and bailee, and shall keep the Goods separate from those of the Buyer and the third parties and property stored, protected and insured and identified as the Seller’s property, but the Buyer shall be entitled to resell or use the Goods in the ordinary course of its business.

8.4 Until such time as the property of the Goods passes to the Buyer (and provided the Goods are still in existence and have not been resold), the Seller shall be entitled at any time to require the Buyer to deliver up the Goods to the Seller and, if the Buyer fails to do so forthwith, to enter upon any premises of the Buyer or any third party where the Goods are stored and repossess the Goods.

8.5 The Buyer shall not be entitled to pledge or in any way of security for any indebtedness any of the Goods which remain the property of the Seller, but if the Buyer does so all moneys owing by the Buyer to the Seller shall (without prejudice to any other right or remedy of the Seller) forthwith become due and payable.

8.6 Legal Title, the legal title will not pass to the consumer until the goods have been delivered and paid for in full. Risk passes to the consumer at delivery, or at the handover to courier if you are arranging your own transport.

9.1 The Buyer accepts that slight variations between individual items and between any sample and the Goods supplied may occur. Any claim by the Buyer which is based on any default in the quality or condition of the Goods or their failure to correspond with specification shall (whether or not delivery is refused by the Buyer) be notified to the Seller within 48 hours from the date of delivery or (where the defect or failure was not apparent on reasonable inspection) within a reasonable time after discovery of the defect or failure. If delivery is not refused, and the Buyer does not notify the Seller accordingly, the Buyer shall not be entitled to reject the Goods and the Seller shall have no liability for such defect or failure, and the Buyer shall be bound to pay the price as if the Goods had been delivered in accordance with the Contract.

9.2 Where any valid claim in respect of any of the Goods which is based on any defect in the quality or condition of the Goods or their failure to meet specification is notified to the Seller in accordance with these Conditions, the Seller shall be entitled to replace the goods (or part in question) free of charge or at the Seller’s sole discretion, refund to the Buyer the price of the Goods (or a proportionate part of the price), but the Seller shall have no further liability to the buyer.

9.3 Except in respect of death or personal injury caused by the Seller’s negligence, the Seller shall not be liable to the Buyer by reason of any representation (unless fraudulent), or any implied warranty, condition or other term, or any duty at common law, or under the express term of the Contract, for any indirect, special or consequential loss or damage (whether for loss of profit or otherwise), costs, expenses or other claims for compensation whatsoever (whether caused by the negligence of the Seller, its employees or agents or otherwise) which arise out of or in connection with the supply of the Goods or their use or resale by the buyer, and the entire liability of the Seller under or in connection with the Contract shall not exceed the price of the Goods, except as expressly provided in these Conditions.

9.4 The Seller shall not be liable to the Buyer or be deemed to be in breach of the Contract by reason of any delay in performing, or any failure to perform, any of the Seller’s obligations in relation to the Goods, if the delay or failure was due to any cause beyond the Seller’s reasonable control. Without prejudice to the generally of the foregoing, the following shall be regarded as causes beyond the Seller’s reasonable control:

9.4.1 Act of God, explosion, flood, tempest, fire or accident;

9.4.2 War or threat of war, sabotage, insurrection, civil disturbance or requisition;

9.4.3 Acts, restrictions, regulations, bye laws, prohibitions or measures of any kind on the part of any governmental, parliamentary or local authority;

9.4.4 Import or export regulations or embargoes;

9.4.5 Strikes, lock outs or other industrial actions or trade disputes (whether involving employees of the Seller or of a third party);

9.4.6 Difficulties in obtaining raw materials, labour, fuel, parts or machinery;

9.4.7 Power failure or breakdown in machinery.

10.1 This clause applies if:

10.1.1 The Buyer makes any voluntary arrangement with its creditors or (being an individual or firm) becomes bankrupt or (being a company) becomes subject to an administration order or goes into liquidation (otherwise than for the purposes of amalgamation or reconstruction); or

10.1.2 an encumbrancer takes possession, or a receiver is appointed, of any of the property or assets of the Buyer; or

10.1.3 the Buyer ceases, or threatens to cease, to carry on business; or

10.1.4 the Seller reasonably apprehends that any of the events mentioned is about to occur in relation to the Buyer and notifies the Buyer accordingly.

10.2 If this clause applies then, without prejudice to any other right or remedy available to the Seller, the Seller shall be entitled to cancel the Contract or suspend any further deliveries under the Contract without any liability to the Buyer, and if the Goods have been delivered but not paid for the price shall become immediately due and payable notwithstanding any previous agreement or arrangement to the contrary.

11.1 In these Conditions ‘Incoterms’ means the international rules for the interpretation of trade terms of the International Chamber of Commerce as in force at the date when the Contract is made. Unless the context otherwise requires, any term or expression which is defined in or given a particular meaning by the provisions of Incoterms shall have the same meaning in these Conditions, but if there is any conflict between the provisions of Incoterms and these Conditions, the latter shall prevail.

11.2 Where the Goods are supplied for export from the United Kingdom, the provisions of this clause 10 shall (subject to any special terms agreed in writing between the buyer and the Seller) apply notwithstanding any other provision of these Conditions.

11.3 The Buyer shall be responsible for complying with any legislation or regulations governing the importation of the Goods into the country of destination and for the payment of any duties, quotas, permits, product restrictions and other local requirements on them. Customs policies vary widely from country to country, please check before placing an order.

12.1 Any notice required or permitted to be given by either party to the other under these Conditions shall be in Writing, in the case of the Buyer, at the invoice address, in the case of the Seller at PJ & RHS Ltd Unit 17, Suprema Business Park, Edington, Nr Bridgwater, Somerset TA7 9LF and notice upon the Seller shall only be effected upon actual receipt.

12.2 No waiver by the Seller of any breach of the Contract by the Buyer shall be considered as a waiver of any subsequent breach of the same or any provision.

12.3 If any provision of these Conditions is held by any competent authority to be invalid or unenforceable in whole or in part the validity of the other provisions of these Conditions and the remainder of the provision in question shall not be affected.

12.4 The Contract shall be governed by the laws of England, and the Buyer agrees to submit to the exclusive jurisdiction of the English courts.

Before returning any item please first notify PJ & RHS Ltd of the fault and to obtain a goods return number. 01278 723360 or [email protected]. PJ & RHS Ltd accepts no responsibility for goods not reaching our premises; only use a reliable traceable method for returning goods and the cost of returning the goods is the responsibility of the customer. Please ensure all date and labels are intact, if any code or date labels are missing or defaced all warranties are deemed null and void. All goods must be packaged correctly as PJ & RHS Ltd cannot accept responsibility for goods damaged in transit. After firstly testing, all guaranteed goods will be either repaired or replaced. If the item has less than 3 months warranty remaining, at our discretion a refund of the original price paid may be made proportional to the balance of the outstanding warranty. Items found after testing or checking not to be faulty or to have suffered physical abuse, will only be returned at the customers’ expense and will incur our normal carriage charges. All options are at the discretion of PJ & RHS Ltd and the cost of returning repaired or replaced items will be met by PJ & RHS Ltd.

The warranty period on all items replaced under warranty will continue from the date of the invoice the original item was sold.

Good stock, unwanted and incorrectly ordered items, may only be returned for credit if the item is unopened, unused and in its original packaging and within 14 days of original invoice from PJ & RHS Ltd. A 20% restocking fee will apply for all such goods.

Sale and clearance items once ordered may not be cancelled and have a 7 day out of box warranty only.

All Leather goods are made to order and are therefore non-refundable.

The final decision of any disputes involving warranties will be that of PJ & RHS Ltd. All warranties given are on the basis that the conditions of sale have been adhered to.

It is an expressed condition of supply at all times that the liability of PJ & RHS Ltd will never exceed the value of the goods supplied and no liability will be accepted by PJ & RHS Ltd for any other losses due to failure of goods supplied.

Leather & Nylon Cases, Straps, Belts Etc.
Leather & Nylon carry cases straps etc, these are all made to order and once an order is placed may not be cancelled or goods returned, these items carry a 12 month warranty against faulty materials and workmanship. All items returned will first be repaired or replaced. Warranty is subject to the items not having suffered excessive wear and tear or abuse.

Click-On® Fittings
These carry a full 12 month warranty against faulty materials and workmanship from date of original invoice from PJ & RHS Ltd.

Battery and Charger Warranties
Rechargeable NiMh and LiIon batteries will maintain 80% of their rated capacity for a period of 12 months from the original invoice date from PJ & RHS Ltd.

All battery chargers carry a 12 month warranty against faults if used under normal working conditions. Always ensure all radios are turned off when charging.

Audio Accessories
Covert and audio accessories comprising PTT and earpiece, including microphones, carry a six month warranty against failure from original PJ & RHS invoice date, excluding earpieces, see below. Please note items which are physically broken are considered to have suffered abuse and are not covered by warranty.

Earpieces Only – Due to the low cost these are considered a disposable item and due to hygiene requirements should only be issued on a personal basis. As such they are not eligible for return or refund unless found to be faulty. These carry a maximum three month (28 day) warranty from date of original invoice from PJ & RHS Ltd.

Antennas

PJ & RHS Ltd only supplies panorama antennas due to their high quality and these carry a full 12 month warranty, excluding physical abuse from date of original PJ & RHS Ltd invoice.

From time to time, we may provide your transaction details to a third party, who will perform an address verification. This is in order to protect the Buyer and Seller against fraudulent transactions. By having the address verified is it intended to ensure that the billing address matches the delivery address and in certain circumstances the Seller may request additional proof of identity to verify your details. PJ & RHS reserves the right not to despatch goods to certain address, in the event that this occurs, the buyer will be notified in writing by email and any amount charged will be refunded.

The current method of payment is via paypal on the website. Alternative methods can be chosen but goods will not be dispatched until funds have been received.

Direct Payment BACS: Please call for our bank details.

Cheque payment welcome, however please allow 7 – 10 days for payment to clear, please make cheques payable to PJ & RHS Ltd. Cheques are not accepted in person. Orders cannot be placed online if paying by cheque, orders must accompany your cheque.

In person, cash, Visa, Mastercard and Debit cards are accepted.
